board.prosperoadvisory.je is the digital instrument of the Prospero Board Review, operated by Prospero Advisory Limited (company number 166208), Jersey, Channel Islands. It collects the questionnaire answers of a board's members, computes the scores and produces the reports that form the first part of a review. The review itself, its scope, fee and deliverables, is governed by the engagement letter between Prospero and the client. Where these terms and an engagement letter differ, the engagement letter prevails.
There are no accounts or passwords. Each client administrator, reviewer and respondent receives a private link. The link is the only key to that role and is personal to the person it was sent to. Do not forward it, and tell the client administrator or Prospero if it has been shared or lost so that it can be replaced. Attempting to reach another person's link, another engagement or the reviewer partition without authority is a breach of these terms and may be an offence under the Computer Misuse (Jersey) Law 1995.
The free Pulse is a twelve-question indicative profile for a single respondent. It is not a board review, is not attributable to the board and is not advice. Pulse sessions are erased 72 hours after the last activity.
Answers are attributed by role class only, on the rules set out on the privacy page. Board reports, Chair reports and the reviewer's analytical pack are delivered to the people entitled to them under the engagement letter and are for the governance use of the board under review. They may be reproduced in the board's own papers, compliance file or annual report on the disclosure terms in the engagement letter and in Prospero's Code statement.
The Board Review methodology, the twelve-dimension spine, the jurisdiction packs, the scoring, the questionnaire wording and the report designs belong to Prospero Advisory Limited. Clients receive a licence to use their reports for their own governance purposes. Nothing on the platform may be copied for the purpose of building or operating a competing instrument.
Prospero aims to keep the platform available throughout each completion window and will extend a window where an outage has prevented respondents from completing. The platform is provided as is for the purposes described; Prospero's liability in respect of a review is set out in the engagement letter.
How answers are protected, where processing takes place and how long anything is kept are set out on the privacy page, which forms part of these terms. Prospero Advisory Limited is registered with the Jersey Office of the Information Commissioner.
Every review conducted on this platform is conducted in line with the Chartered Governance Institute's Code of Practice for board reviewers, as described in Prospero's statement.
These terms are governed by the law of Jersey and the Jersey courts have exclusive jurisdiction. Prospero may update them; the date below is the date of the current version.
